What is a Build-Operate-Transfer model and how does it differ from outsourcing?

A Build-Operate-Transfer (BOT) model is an offshore engagement structure in which a specialist partner establishes and operates a dedicated engineering center on behalf of the client, then transfers full ownership of the team, infrastructure, and intellectual property to the client at a defined point in the engagement. It differs from traditional outsourcing in three critical ways: the team is dedicated exclusively to the client rather than shared across multiple engagements, the client retains full IP ownership from day one, and there is a contractual path to full operational independence rather than an indefinite vendor dependency. The BOT model is the preferred structure for enterprises that want the speed and expertise of a partner for setup and the long-term control and cultural integration of an in-house team. RedEx manages the BENCHMARK through DELIVER phases of the BOT engagement, and the EVOLVE phase is specifically designed to prepare the client for full operational ownership.

A Global Capability Center (GCC) is a wholly-owned or majority-owned subsidiary of a multinational enterprise, established in a lower-cost market to deliver technology, engineering, and business process functions that were previously performed at headquarters or outsourced to third parties. GCCs are distinguished from outsourcing by ownership: the client controls the team, the IP, the culture, and the operating model. Transfer is optional in a RedEx BOT engagement. Some clients choose to fully integrate the Vietnam team into their organisation, establishing a wholly foreign-owned enterprise or representative office and taking direct employment responsibility for the team. Others prefer RedEx to continue operating the delivery center as a long-term managed service: the team remains dedicated to the client, operates with the client’s culture and processes, but RedEx continues to provide governance, HR, and operational infrastructure. The transfer decision is typically made at the 18 to 24-month mark, when the team is stabilised and the client’s leadership has enough direct visibility into the team’s capability to make an informed decision about the right long-term structure.

Vietnam offers a 3-year Corporate Income Tax exemption for qualifying technology companies, launched in May 2025 as part of the government’s National Digital Transformation Programme. This exemption applies to new technology entities meeting defined criteria around Vietnamese employee headcount, technology product revenue, and R&D investment.
